《注冊資(zi)本登(deng)記(ji)制度(du)改(gai)革方案》解讀二(er)
構建市(shi)場主體信(xin)(xin)用(yong)信(xin)(xin)息公(gong)示體系、將企(qi)業(ye)年(nian)度檢驗制度改為企(qi)業(ye)年(nian)度報告公(gong)示制度和(he)完善(shan)信(xin)(xin)用(yong)約(yue)束機(ji)制的舉措(cuo),是《注(zhu)冊資本登記制度改革方案》的新亮(liang)點和(he)新突破。
一、構建市場主體(ti)信(xin)用信(xin)息(xi)公(gong)示體(ti)系(xi),推進信(xin)息(xi)公(gong)開和(he)共享
隨(sui)著電子(zi)技(ji)術(shu)的(de)迅速發展,國民經濟社(she)會(hui)(hui)信(xin)息(xi)(xi)化(hua)進程不斷(duan)被提速,信(xin)息(xi)(xi)化(hua)在行政(zheng)管(guan)(guan)(guan)理(li)(li)、社(she)會(hui)(hui)管(guan)(guan)(guan)理(li)(li)和(he)(he)企業管(guan)(guan)(guan)理(li)(li)的(de)應(ying)(ying)用(yong)(yong)(yong)越來越廣泛,大數據時代(dai)已經到來。而信(xin)息(xi)(xi)網絡(luo)技(ji)術(shu)的(de)發展更是(shi)為解決信(xin)息(xi)(xi)“孤島(dao)”提供(gong)了(le)技(ji)術(shu)支持和(he)(he)保(bao)障。充分利(li)用(yong)(yong)(yong)現(xian)代(dai)電子(zi)技(ji)術(shu)、網絡(luo)技(ji)術(shu)服務政(zheng)府管(guan)(guan)(guan)理(li)(li)是(shi)新(xin)(xin)時代(dai)提升政(zheng)府管(guan)(guan)(guan)理(li)(li)效能的(de)有(you)效手(shou)段。《方案》提出將構建(jian)市場(chang)主體(ti)(ti)信(xin)用(yong)(yong)(yong)信(xin)息(xi)(xi)公(gong)示(shi)體(ti)(ti)系作為“嚴格市場(chang)主體(ti)(ti)監管(guan)(guan)(guan)”的(de)一條重要措(cuo)施,正是(shi)適應(ying)(ying)了(le)當代(dai)經濟社(she)會(hui)(hui)信(xin)息(xi)(xi)化(hua)發展的(de)新(xin)(xin)趨勢和(he)(he)新(xin)(xin)要求,也適應(ying)(ying)了(le)社(she)會(hui)(hui)公(gong)眾對信(xin)息(xi)(xi)公(gong)開和(he)(he)信(xin)息(xi)(xi)共享(xiang)的(de)新(xin)(xin)期望。這要求我們(men)要轉變監管(guan)(guan)(guan)理(li)(li)念和(he)(he)方式,樹立信(xin)用(yong)(yong)(yong)監管(guan)(guan)(guan)、協作化(hua)監管(guan)(guan)(guan)、社(she)會(hui)(hui)化(hua)監管(guan)(guan)(guan)理(li)(li)念,實(shi)現(xian)從依(yi)托傳(chuan)統監管(guan)(guan)(guan)手(shou)段向(xiang)更加(jia)注(zhu)重運用(yong)(yong)(yong)信(xin)息(xi)(xi)公(gong)示(shi)、信(xin)息(xi)(xi)共享(xiang)、信(xin)用(yong)(yong)(yong)約束等監管(guan)(guan)(guan)機制和(he)(he)手(shou)段的(de)轉變。
從《方(fang)案》規定(ding)來看,構建市(shi)場(chang)(chang)(chang)(chang)主(zhu)(zhu)體(ti)(ti)(ti)信(xin)(xin)(xin)(xin)用(yong)(yong)信(xin)(xin)(xin)(xin)息(xi)(xi)公(gong)(gong)示(shi)(shi)(shi)體(ti)(ti)(ti)系(xi)包括了兩個方(fang)面內容:一是(shi)要完善市(shi)場(chang)(chang)(chang)(chang)主(zhu)(zhu)體(ti)(ti)(ti)信(xin)(xin)(xin)(xin)用(yong)(yong)信(xin)(xin)(xin)(xin)息(xi)(xi)公(gong)(gong)示(shi)(shi)(shi)制(zhi)度。在發揮市(shi)場(chang)(chang)(chang)(chang)機制(zhi)決定(ding)性作用(yong)(yong),賦予市(shi)場(chang)(chang)(chang)(chang)主(zhu)(zhu)體(ti)(ti)(ti)更大權(quan)利的(de)(de)同時,強(qiang)化(hua)市(shi)場(chang)(chang)(chang)(chang)主(zhu)(zhu)體(ti)(ti)(ti)主(zhu)(zhu)動公(gong)(gong)開相關(guan)信(xin)(xin)(xin)(xin)息(xi)(xi)的(de)(de)義務,以盡量(liang)減(jian)少交易、管理中信(xin)(xin)(xin)(xin)息(xi)(xi)不對(dui)稱(cheng)問題。這樣,在制(zhi)度層面為信(xin)(xin)(xin)(xin)息(xi)(xi)公(gong)(gong)開和(he)信(xin)(xin)(xin)(xin)息(xi)(xi)共享提(ti)供了法(fa)制(zhi)保障(zhang)。二是(shi)要建設主(zhu)(zhu)場(chang)(chang)(chang)(chang)主(zhu)(zhu)體(ti)(ti)(ti)信(xin)(xin)(xin)(xin)用(yong)(yong)信(xin)(xin)(xin)(xin)息(xi)(xi)公(gong)(gong)示(shi)(shi)(shi)系(xi)統(tong)。這一系(xi)統(tong)的(de)(de)建立為信(xin)(xin)(xin)(xin)息(xi)(xi)公(gong)(gong)開和(he)信(xin)(xin)(xin)(xin)息(xi)(xi)共享提(ti)供了最(zui)便捷的(de)(de)實(shi)(shi)現途(tu)徑。市(shi)場(chang)(chang)(chang)(chang)主(zhu)(zhu)體(ti)(ti)(ti)信(xin)(xin)(xin)(xin)用(yong)(yong)信(xin)(xin)(xin)(xin)息(xi)(xi)公(gong)(gong)示(shi)(shi)(shi)系(xi)統(tong)運行,既立足于(yu)對(dui)市(shi)場(chang)(chang)(chang)(chang)主(zhu)(zhu)體(ti)(ti)(ti)信(xin)(xin)(xin)(xin)息(xi)(xi)的(de)(de)公(gong)(gong)示(shi)(shi)(shi),又由于(yu)市(shi)場(chang)(chang)(chang)(chang)主(zhu)(zhu)體(ti)(ti)(ti)信(xin)(xin)(xin)(xin)用(yong)(yong)信(xin)(xin)(xin)(xin)息(xi)(xi)通過系(xi)統(tong)向全社會公(gong)(gong)示(shi)(shi)(shi),也(ye)起到了對(dui)主(zhu)(zhu)體(ti)(ti)(ti)披(pi)露信(xin)(xin)(xin)(xin)息(xi)(xi)的(de)(de)監督。因此,市(shi)場(chang)(chang)(chang)(chang)主(zhu)(zhu)體(ti)(ti)(ti)信(xin)(xin)(xin)(xin)用(yong)(yong)信(xin)(xin)(xin)(xin)息(xi)(xi)公(gong)(gong)示(shi)(shi)(shi)系(xi)統(tong)是(shi)落實(shi)(shi)“寬進嚴格(ge)”最(zui)為重要的(de)(de)技術措施和(he)保障(zhang)手段,對(dui)于(yu)注冊資本登記(ji)制(zhi)度的(de)(de)改革以至于(yu)整個工(gong)商(shang)登記(ji)制(zhi)度的(de)(de)改革來說至關(guan)重要。
《方(fang)案》明確(que)市場主(zhu)體(ti)信(xin)(xin)(xin)用信(xin)(xin)(xin)息公(gong)示(shi)體(ti)系(xi)(xi)要以企業法人(ren)(ren)(ren)國家(jia)信(xin)(xin)(xin)息資源(yuan)庫(ku)為基礎,按照統(tong)一的(de)技術(shu)規(gui)范(fan)和標準,搭建中央和省級兩級信(xin)(xin)(xin)息平(ping)臺。并要求加強公(gong)示(shi)系(xi)(xi)統(tong)管理(li),建立服務(wu)保障機制,為相關單位(wei)和社會(hui)(hui)公(gong)眾提(ti)供方(fang)便快(kuai)捷服務(wu)。這種規(gui)劃(hua),既(ji)考慮(lv)到了(le)(le)我國國家(jia)法人(ren)(ren)(ren)庫(ku)建設規(gui)劃(hua)和建設成果,又充分體(ti)現了(le)(le)法人(ren)(ren)(ren)庫(ku)是社會(hui)(hui)誠(cheng)信(xin)(xin)(xin)體(ti)系(xi)(xi)建設的(de)基礎,還考慮(lv)了(le)(le)各個管理(li)部(bu)門既(ji)統(tong)一規(gui)范(fan)又各司其責,從而這一系(xi)(xi)統(tong)也(ye)成為我國社會(hui)(hui)誠(cheng)信(xin)(xin)(xin)體(ti)系(xi)(xi)建設的(de)有機組成部(bu)分,也(ye)必將為社會(hui)(hui)誠(cheng)信(xin)(xin)(xin)體(ti)系(xi)(xi)建設提(ti)供重(zhong)要支撐。
從《方案》對市場主體信用信息公示系統公示的內容規定來看,市場主體登記機關通過系統公示各類市場主體的登記、備案、監管等信息;市場主體通過系統公示其年度報告、股東出資情況、獲得資格資質等信息。系統將通過數據共享,向有關政府部門或國家有關信息系統開放數據接口,各政府管理部門通過系統可以獲取市場主體公示信息,作為其實施行政許可和監督管理的重要依據。市場主體信用信息公示系統有效地擴大了市場主體信息的公示范圍,方便了社會各方對市場主體信息的需求和查詢,真正實現了信息資源的社會共享,進而將對市場主體單一部門監管擴大為全社會共同監管。
